Terms of Service
Version 1 · Effective August 24, 2026
These terms govern access to and use of the OKR platform operated by [LEGAL ENTITY NAME — not yet decided] (the “service”). By creating an account, accepting an invite, or otherwise using the service, you agree to these terms on behalf of yourself and, where you act for an organization, on behalf of that organization.
1. The service
The service helps a leadership team author, stress-test, cascade and score annual objectives and key results (OKRs). It includes an AI agent that drafts and critiques strategy content, a scoring and review workflow, exports, and a company-research function that assembles context about your organization and, where you request it, about other companies. Features may be added, changed or withdrawn as the service evolves; this document describes the service as a whole rather than any one feature.
2. Acceptable use
You agree not to:
- use the service for any purpose that is unlawful or that infringes another party's rights;
- attempt to bypass, disable or probe any access control, rate limit or security measure, or access another organization's workspace or data without authorization;
- reverse-engineer, decompile or attempt to extract the source code, models or prompts underlying the service, except where applicable law gives you that right despite this restriction;
- use automated means to scrape or bulk-extract content from the service outside of its provided export functions;
- upload or submit content that is unlawful, infringing, or that you do not have the right to share; or
- interfere with the service's operation or another customer's use of it, including by introducing malicious code.
Much of what you enter — objective and key-result text, owner names, reviewer names, candor-log entries, accepted-risk notes — can name real people, including colleagues who have never signed up for the service. You are responsible for having a lawful basis to include personal data about a third party in the content you submit, including any consent or notice that applicable law requires of you as the person entering it.
3. AI-generated output is assistance, not advice
The service's AI agent drafts objectives and key results, stress-tests a strategy the way a board member might, and proposes cascades and fixes. This output is generated by a language model from the information you provide and is offered as a starting point and a second opinion — it is not professional, legal, financial or strategic advice, and it is not a warranty or guarantee that pursuing it will produce any particular business outcome. A generated draft or critique may be incomplete, may misread context, or may simply be wrong. You and your organization remain solely responsible for reviewing, editing and deciding whether to adopt any AI-generated content before acting on it, exactly as you would with a draft from any other source.
When the AI agent cannot produce a usable response, the service falls back to a deterministic template rather than showing an error — that fallback is also assistance, not advice, and carries the same limits stated here.
4. Ownership
You and your organization own the content you enter into the service — your objectives, key results, strategy narrative, chat turns, candor-log entries, scores and any other material you author or edit — including drafts and critiques the AI agent produced from your own inputs, once you have reviewed and adopted them into your plan.
The service itself — its software, user interface, the AI agent's prompts and methodology, the underlying platform, and all associated intellectual property — remains the exclusive property of [LEGAL ENTITY NAME — not yet decided] and its licensors. Using the service does not grant you any right to it beyond what is needed to use the service as intended.
5. Availability and support
We aim to keep the service available and responsive, but we do not guarantee uninterrupted or error-free operation. Maintenance, upgrades and incidents may cause the service to be temporarily unavailable or degraded, including AI features falling back to slower or templated responses. Support is provided on a best-effort basis through the channels we make available from time to time; this document does not itself commit to a response time or a service-level agreement.
6. Limitation of liability
To the maximum extent permitted by applicable law, the service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any warranty that AI-generated output will be accurate, complete or fit for a particular purpose. Neither [LEGAL ENTITY NAME — not yet decided] nor its licensors will be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunity, arising out of or relating to your use of the service, even if advised of the possibility of such damages. Nothing in this section is intended to exclude any liability that cannot lawfully be excluded or limited.
7. Termination and what happens to your data
You may stop using the service at any time, and an organization's administrator may remove members or close the workspace. We may suspend or terminate access for a breach of these terms, non-payment, or a legal or security reason. On termination of an organization's access, we will make reasonable efforts to allow export of your OKR content for a limited period before it is deleted or de-identified, consistent with the retention and deletion practices described on the data-handling page and the privacy notice. Some records — for example, append-only score history, review decisions and version snapshots — exist specifically to preserve an audit trail and may be retained in de-identified form rather than deleted outright, as described on those pages.
8. Governing law
These terms are governed by the laws of [COUNTRY OF REGISTRATION — not yet decided], without regard to its conflict-of-law principles, and any dispute arising from them will be subject to the courts or dispute-resolution mechanism applicable in that jurisdiction. This section is a placeholder pending a final decision on the controlling legal entity and its jurisdiction (see the draft notice above); it does not yet state a reviewed legal position.
9. Changes to these terms
When we change these terms, we publish the new wording as a new, separately versioned document rather than editing this one in place, so what you agreed to at a given moment stays exactly as you saw it. If a newer version is in force, you will be asked to review and accept it the next time it matters. Questions about these terms can be sent to [PRIVACY CONTACT ADDRESS — not yet decided].
